1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and Zasii Venture Studio (“we,” “us,” or “our”), concerning your access to and use of the studio.zasii.com website and any partnership applications or idea submissions you make (collectively, the “Services”).

By accessing the Site, sending us an email, or providing any form of Submission, you irrevocably agree that you have read, understood, and consented to be bound by all of these Terms. This action of contacting or submitting to us serves as your express and undeniable acceptance of this entire agreement. If you do not agree with all of these Terms, then you are expressly prohibited from using our Services, and you must discontinue all use and communication immediately.

2. Idea & Unsolicited Submissions Policy

Our mission is to ideate, build, and launch new companies. We are constantly developing our own ideas and evaluating numerous submissions. To prevent any misunderstanding, the following terms are absolute conditions for submitting any application or idea to us.

No Confidential Relationship Created

Your submission of any unsolicited ideas, concepts, business plans, or any other materials (collectively, "Submissions") to us via any channel (including the Site, email, or social media) does not create a confidential, fiduciary, or any other special relationship between you and Zasii Venture Studio. We are not your agent or trustee. All Submissions will be treated as strictly **non-confidential and non-proprietary.**

No Obligation to Respond or Review

We receive a high volume of Submissions. **We are under no obligation whatsoever to review, consider, respond to, or engage with your Submission.** We may, in our sole and absolute discretion, reject or ignore your Submission without providing any reason or notification. A lack of response from us constitutes a rejection of your Submission.

Risk of Independent Development (Pre-existing Work)

You must acknowledge that Zasii Venture Studio and its partners are continuously working on numerous internal projects and evaluating other opportunities. **It is highly likely that a concept or idea similar or even identical to your Submission is already under consideration or in development by us, or may be developed by us in the future, entirely independently of your Submission.** By making a Submission, you agree that you will not be entitled to any compensation, credit, or recognition of any kind if we later commercialize a product, service, or concept that is similar or identical to any part of your Submission.

Absolute Waiver of All Claims

By making a Submission, **you fully and irrevocably waive and release any and all claims** you have or may have in the future against Zasii Venture Studio, its affiliates, directors, employees, and partners with respect to your Submission. This includes, but is not limited to, any claims of idea theft, misappropriation, copyright infringement, breach of an implied-in-fact or implied-in-law contract, unjust enrichment, or any other legal or equitable theory.

To be clear: you cannot sue us or claim ownership if we launch something that resembles your idea. Your submission is at your own risk, with the full understanding of these terms.

Your Representation

You represent and warrant that you have the full legal right to make the Submission and that your Submission does not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party.

We strongly advise you not to submit any information you consider confidential, proprietary, or valuable.

3. Partnership Model & Equity

Should Zasii Venture Studio choose to partner with you after a formal evaluation and mutual agreement process, this partnership will be structured as a collaborative venture. In exchange for our services—which include providing a dedicated product team, strategic guidance, and operational support—Zasii Venture Studio will receive a significant equity stake in the newly formed or existing entity.

The specific terms of this equity exchange, including percentage, vesting, and other details, will be negotiated and outlined in a separate, legally binding shareholder or partnership agreement. The submission of an idea does not, in any way, represent an offer or guarantee of such a partnership or any specific terms.

4. Intellectual Property Rights

Unless otherwise indicated, the Site is our proprietary property. All source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws. The Content and Marks are provided on the Site “AS IS” for your information and personal use only.

5. Prohibited Activities

You may not access or use the Site for any purpose other than that for which we make it available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us. As a user, you agree not to:

• Systematically retrieve data from the Site to create a collection, compilation, database, or directory without our written permission.
• Engage in any unauthorized use of the Site, including collecting user information for the purpose of sending unsolicited email.

6. Term and Termination

These Terms shall remain in full force and effect while you use the Site. WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SITE TO ANY PERSON FOR ANY REASON OR FOR NO REASON.

7. Governing Law

These Terms and your use of the Site are governed by and construed in accordance with the laws of the State of Tamil Nadu, India, applicable to agreements made and to be entirely performed within the State of Tamil Nadu, without regard to its conflict of law principles.

THE SITE IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SITE AND OUR SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
